Ladd Johnson is the founder and Managing Partner of Johnson Law, PLLC. Ladd’s career began by working for 7 years in the fast-moving, transactional environment of a large law firm on K Street in Washington DC and has continued in specialized boutique legal practices since that time with clients spread across the country. With over 22 years of experience handling complex transactions of all types, together with handling daily matters as outside general counsel for many clients, Ladd has the requisite experience to handle any deal.
Ladd assists clients with mergers, acquisitions, debt and equity financings, corporate structuring, partnership agreements, equity incentive plans and other contract drafting and negotiations. He also serves on a pro bono basis as a court appointed Guardian Ad Litem in the State of Utah, representing the interests of the children in difficult family cases.
Representative Experience:

Lead counsel for multiple sales (via asset purchases, stock purchases and mergers) of hundreds of communications towers for various clients for hundreds of millions of dollars to American Tower, Crown Castle, SBA, Vertical Bridge and others

Represented equity groups in acquisitions of business in various industries from food services to technology companies to HVAC services for tens of millions of dollars, including negotiations of acquisition financing with lenders

Lead counsel for equity investors of multiple SaaS software companies, including related debt financing and rollover equity transactions for hundreds of millions of dollars

Represented radio station owner in divestiture of multiple radio stations to various buyers for hundreds of millions of dollars

Negotiated Master Leasing Agreements with Verizon, AT&T, T-Mobile and DISH

Drafted and negotiated Master Marketing and Leasing Agreements with various public and private landowners

Represented clients in negotiations of various Ground Leases and long term easements for placement of communications infrastructure - Negotiated Venue Leases for DAS and other in-building communications systems with building and stadium owners

Represented majority owners accepting new investors and, for other clients, protected minority owner’s rights in various investments, including, in both cases, negotiations of Operating Agreements and Shareholders Agreements

Lead counsel for various Joint Venture Agreements between industry companies and real estate developers - Served as Outside General Counsel to multiple companies providing all types of contract review and negotiation, equity incentive plans and executive agreements

Represented various borrowers and lenders in senior and subordinated loans, including refinancings and amendments

Advised early stage clients in seed funding rounds with Convertible Note Purchase Agreements and SAFE Notes
