Kate Hansen is a corporate attorney with a varied background in business and litigation. Kate began her
career clerking for a United States District Court Judge for the District of Utah and then working for a
regional law firm based in the intermountain west where she had a varied practice in both commercial
litigation and business transactions, including representing receivers appointed in civil enforcement
actions brought by the Securities and Exchange Commission.

Since that time Kate has been focused on corporate transactions and contracts of all types and sizes,
including acquisitions and sales of businesses in the software and communications industries, debt and
equity financing for various clients, corporate structuring and leasing. Kate has also worked as in-house
general counsel of a national fractional CFO firm.

Her experience is not limited solely to legal matters as Kate has also successfully crowdfunded and
launched her own ecommerce consumer products company.

Kate uses her diverse experience to help clients’ businesses to thrive through mergers and acquisitions,
contract drafting and negotiations, corporate compliance, and other general business matters.

Representative Experience:

• Drafted and negotiated various ground leases and long term easements for telecommunications clients.

• Assisted in the purchase and sale of various businesses, including numerous communications towers.

• Served as outside general counsel to multiple companies providing all types of contract review and negotiation.

• Title examination and title insurance issues including the reviewing and analyzing chain of title and identifying and curing encumbrances and other defects
